Paying by check does slow down your order somewhat, as we don't process your order until your check is received and cleared. If you are in the United States, paying by personal check typically delays your order two to three weeks.

When you purchase a rug through eRug, the rug is shipped to your address. If for any reason, you are not fully satisfied with the rug you received, you may simply call our customer support team within 30 days of receiving your rug and you will receive your refund. Return shipping will be paid by the buyer.

Participation Agreement

Welcome to eRug.com's online eRug and eRugAuction handmade rug buying and selling community (the "Site"). Any person who wants to access the Site to buy, sell or bid for goods or to use the other services we provide (collectively, the "Services") must accept the terms and conditions of this Participation Agreement without change. BY REGISTERING FOR AND USING THE SERVICES, YOU AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT AND ALL POLICIES AND GUIDELINES INCORPORATED BY REFERENCE.

eRug.com/Visfinity, Inc., (hereinafter "eRug.com") reserves the right to change any of the terms and conditions contained in this Agreement or any policies or guidelines governing the Site or Services, at any time and in its sole discretion. Any changes will be effective upon posting of the revisions on the Site. All notice of changes to this Agreement will be posted on the Site for 30 days. You are responsible for reviewing the notice and any applicable changes. Changes to referenced policies and guidelines may be posted without notice to you. YOUR CONTINUED USE OF THIS SITE AND THE SERVICES FOLLOWING ERUG.COM'S POSTING OF ANY CHANGES WILL CONSTITUTE YOUR ACCEPTANCE OF SUCH CHANGES OR MODIFICATIONS. 1. Eligibility. Use of the Services is limited to parties that lawfully can enter into and form contracts under applicable law. For example, minors are not allowed to use the Services. To register, you must provide your real name, address, phone number, e-mail address, and valid credit card information.

2. eRug.com Reservation of Rights.

eRug.com retains the right to immediately halt any Fixed Price Sale or Auction, prevent or restrict access to the Site or the Services or take any other action to restrict access to or availability of objectionable material, any inaccurate listing, any unlawful items or any items otherwise prohibited.

3. Your Transactions.

a. eRug Sales. Bidders, Buyers, and Sellers create different obligations by accessing the Site and using the Services. For sales where a Seller lists goods at a fixed price through eRug ("Fixed Price Sales"), the Seller is obligated to sell the goods at the listed price to Buyers who meet the Seller's terms. By listing an item in a Fixed Price Sale or by auction, you represent and warrant to prospective Buyers that you have the right and ability to sell, and that the listing is accurate, current and complete and is not misleading or otherwise deceptive.

b. Your Obligations as a Buyer. By entering into this Agreement and bidding on an auctioned item or making an offer in a Fixed Price Sale, you agree to complete the transaction as described by this Agreement. You acknowledge that by not fulfilling these obligations, your action or inaction may be legally actionable.

c. Sales/Use Taxes.

eRug. If you purchase a rug through eRug, eRug.com will charge applicable sales tax and add it your purchase price.

4. International Listings and Transactions.

a. Purchase for Shipment outside of the United States & Canada. If you are buying a rug for shipment outside of the United States, you are responsible for custom duties. Anytime you buy a rug that is shipped to outside the United States And Canada, the sale is final. No returns will be accepted by eRug.com.

b. International Listings.  At this time, Sellers may list their items only domestically. In the future, Sellers may be able to elect to have their items listed internationally on eRug.com sites located outside of the United States and Canada. To the extent that there is any inconsistency between the terms and conditions of the Participation Agreements at any of the sites, the Participation Agreement of the site at which the Buyer is registered shall prevail. In listing items for auction or sale internationally, Sellers and Buyers must comply with all applicable laws, including but not limited to import and export laws, and prohibitions on the sale, distribution or offering for sale of specific items.

c. Currency. Buyers must pay Sellers in the currency specified in the Seller's listing.

5. Password Security. Your password may be used only to access the Site, use the Services, electronically sign your transactions and review your completed transactions. You are solely responsible for maintaining the security of your password. You may not disclose your password to any third party (other than third parties authorized by you to use your account) and are solely responsible for any use of or action taken under your password on this Site. If your password is compromised you must change your password.

6. Illegal Activity.

a. Compliance with Laws; Fraud. The Site and Services only may be used for lawful purposes and in a lawful manner. You agree to comply with all applicable laws, statutes and regulations regarding use of the Services, including in regard to bidding, listing, purchasing and selling items. You may not register under a false name or use an invalid or unauthorized credit card. You may not make bids under a false name, impersonate any participant, or use another participant's password(s). Such fraudulent conduct is a violation of federal and state laws. Fraudulent conduct may be reported to law enforcement, and eRug.com will cooperate to ensure that violators are prosecuted to the fullest extent of the law.

b. Investigation. eRug.com has the right, but not the obligation, to monitor any activity and content associated with this Site. eRug.com may investigate any reported violation of its policies or complaints and take any action that it deems appropriate. Such action may include, but is not limited to, issuing warnings, suspension or termination of service, denying access and/or removal of any materials on the Site, including listings and bids. eRug.com reserves the right and has absolute discretion, to remove, screen or edit any content that violates these provisions or is otherwise objectionable.

c. Disclosure of Information. eRug.com also reserves the right to report any activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other third parties. In order to cooperate with governmental requests, to protect eRug.com's systems and customers, or to ensure the integrity and operation of eRug.com's business and systems, eRug.com may access and disclose any information it considers necessary or appropriate, including, without limitation, user contact details, IP addressing and traffic information, usage history and posted content.

7. Privacy. eRug.com is committed to protecting your privacy. Click here for our general Privacy Policy. We may change the Privacy Policy in the future. You should check the Privacy Policy frequently for changes. Unless otherwise authorized or consented, you agree not to use any information regarding other participants, which is accessible from the Site or disclosed to you by eRug.com except to enter into and complete transactions. You agree not to use any such information for purposes of solicitation, advertising, unsolicited e-mail or spamming, harassment, invasion of privacy or otherwise objectionable conduct.

8. eRug.com Return Policies.

a. Return of eRug Purchases. When you purchase a rug through eRug, the rug is shipped to your address. If for any reason, you are not fully satisfied with the rug you received, simply call our customer support team at (888) 755-3784(eRUG) within 30 days of receiving your rug and you will receive your refund. Return shipping will be paid by the buyer. It’s that simple. THIS APPLIES ONLY TO RUGS PURCHASED THROUGH ERUG AND DOES NOT APPLY TO RUGS PURCHASED THROUGH ERUGAUCTION OR TO RUGS PURCHASED AND SHIPPED OUTSIDE OF THE UNITED STATES AND CANADA.

9. No Warranties. THE SITE AND THE SERVICES ARE PROVIDED ON AN "AS IS" BASIS. ERUG.COM MAKES NO OTHER REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:

A. THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;

B. THAT THE SITE OR THE SERVICES WILL MEET YOUR REQUIREMENTS, WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE OR OPERATE WITHOUT ERROR;

C. THE INFORMATION, CONTENT, MATERIALS OR PRODUCTS INCLUDED ON THE SITE WILL BE AS REPRESENTED BY SELLERS, AVAILABLE FOR SALE AT THE TIME OF AUCTION OR FIXED PRICE SALE, LAWFUL TO SELL, OR THAT SELLERS OR BUYERS WILL PERFORM AS PROMISED;

D. ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE; AND

E. ANY OBLIGATION, LIABILITY, RIGHT, CLAIM OR REMEDY IN TORT, WHETHER OR NOT ARISING FROM THE NEGLIGENCE OF ERUG.COM.

TO THE FULL EXTENT PERMISSIBLE UNDER APPLICABLE LAW, ERUG.COM DISCLAIMS ANY AND ALL SUCH WARRANTIES.

10. General Release. BECAUSE ERUG.COM IS NOT INVOLVED IN TRANSACTIONS BETWEEN BUYERS AND SELLERS OR OTHER PARTICIPANT DEALINGS RELATED TO AN ERUGAUCTION, IF A DISPUTE ARISES BETWEEN ONE OR MORE PARTICIPANTS IN AN ERUGAUCTION, EACH OF YOU RELEASE ERUG.COM (AND ITS AGENTS AND EMPLOYEES) FROM CLAIMS, DEMANDS AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES.

11. Limitation of Liability. ERUG.COM WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE PARTICIPATION AGREEMENT, THE SITE, THE SERVICES, THE INABILITY TO USE THE SERVICES OR THOSE RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICES.

12. Applicable Law. The Site and the Services are arranged, sponsored, or managed by eRug.com in the State of California, USA. The laws of the State of California govern this Participation Agreement and all of its terms and conditions, without giving effect to any principles of conflicts of laws. You agree that any action at law or in equity arising out of or relating to these terms and conditions shall be filed only in state or federal court located in San Jose, California, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action or proceeding arising out of these terms and conditions.

13. eRugAuction Disputes. Because eRug.com is not involved in the actual eRugAuction transaction between Sellers and Buyers and is not the agent of either for any purpose, eRug.com will not be involved in resolving any disputes between participants related to or arising out of any transaction. eRug.com urges eRugAuction Sellers and Buyers to cooperate with each other to resolve such disputes.

14. Licenses.

a. Your Grant. By entering into this Participation Agreement and listing an item, you grant eRug.com and its affiliates a non-exclusive, worldwide, royalty-free, irrevocable, the right to publish, display, modify, and to otherwise exercise all copyright and rights of publicity over the material displayed in your listings, bids, or purchases (specifically including rug images) in any existing or future media, known or unknown, now or at any later date. eRug.com shall exclusively own images, which have been modified or redefined by eRug.com. You also grant eRug.com the right to display and publish in any existing or future media, known or unknown, now or at any later date your comments provided to eRug.com regarding the site, including, but not limited to, your comments about and rating of another party to a transaction in which you were a participant

b. eRug.com's Grant. Unless otherwise agreed to in writing by the involved parties, eRug.com grants a limited license to each participant to make personal use only of the Site and the Services. This license expressly excludes, without limitation, any resale or commercial use of the Site and the Services, making any derivative of the Site or the Services, the collection and use of participant e-mail addresses or other participant information, ratings or listings, or any data extraction or data mining whatsoever.

15.  Termination. eRug.com, in its sole discretion, may terminate this Participation Agreement, access to the Site or the Services, or any current fixed price sales or auctions immediately without notice for any reason.

16. General Provisions.

a. Entire Agreement. This Agreement and the general terms, conditions and Legal Notices of the Site constitute the entire agreement of the parties with respect to the subject matter hereof and supersedes and cancels all prior and contemporaneous agreements, claims, representations and understandings of the parties in connection with the subject matter hereof.

b. No Agency; Third-Party Beneficiary. eRug.com is not the agent, fiduciary, trustee or other representative of you. Nothing expressed or mentioned in or implied from this Agreement is intended or shall be construed to give to any person other than the parties hereto any legal or equitable right, remedy or claim under or in respect to this Agreement. This Agreement and all of the representations, warranties, covenants, conditions and provisions hereof are intended to be and are for the sole and exclusive benefit of eRug.com, you, and relying Buyers or Sellers.

c. Severability. If any provision of this Agreement shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and conditions and shall not affect the validity and enforceability of any remaining provisions.

d. No Waiver.  eRug.com's failure to enforce the strict performance of any provision of this Agreement will not constitute a waiver of eRug.com's right to subsequently enforce such provision or any other provisions of this Agreement.
